BOARD OF DIRECTORS MEETING
NOVEMBER 02, 2006

The meeting was called to order by Bill Frambes, President at 7:00 P.M.

After the Pledge of Allegiance, Alan Hahn gave a short prayer. Bill Frambes then asked everyone to bow their heads for a moment of silence in memory of Adelene Mullins and Betty Barnes, residents of Chardonnay who had recently passed away. He spoke about both women and of their many contributions of time and work for the community through the past several years.

Attendance was taken. Present: Bill Frambes, Marge Rauch, Alan Hahn, Jim Remely, Gerrie Kortekamp, board members; and Dave Munro, Property Manager from Towne Properties.

The minutes from the September 19, 2006 meeting were presented. A motion was made by Marge Rauch; seconded by Jim Remley to approve. Motion Carried.

OFFICER REPORTS:
*. Jim Remley reported that he and Gerrie Kortekamp were appointed to the nominating committee to bring a slate of candidates to run for the two open board positions at our annual owners meeting. We need additional members on this committee and asked that anyone willing to volunteer, to give him or Gerrie a call to let them know.
* Marge Rauch gave a special “Thank you” to all of those who “chaired” a committee as well as all those who served on these committees during this past year. All of their time and work was sincerely appreciated.

MANAGEMENT REPORT:
*. Dave Munro reported that only three violation letters had been sent out since our last meeting. Those that have received the letters have cooperated; therefore no additional notices were required to be sent.
*. Exterior painting of the buildings has begun. Next year, the painting contractor has promised to put us on his schedule earlier in the year. The painter lost approximately 40 days due to poor weather conditions and therefore resulted in painting later at Chardonnay than he expected.
*. After approval of the budget by the board, the coupon books for the 2007 condo owners assessment will go out. The new coupon books will most likely be mailed around the middle of December to the owners.

COMMITTEE REPORTS:
• Landscape Committee. . ..Beth Maggard reported that Bob Wheeler, with the assistance of several volunteers, put up all the Christmas decorations at the front entrance and around the clubhouse. The focus of their committee this year will be the front entrance to Chardonnay. They plan to use their funds to amend the soil and to plant more perennials. This will help in lowering the costs and saving time required for planting annuals, since the perennials should winter and come back the following season. The irrigation company has turned the water off at the front entrance. They should be out this week to finish winterizing the system.

*. Welcome Committee. . . Alan Hahn read the written report submitted by Judi Hahn (see attached).
*. Social Committee. . . .Pat Rummel submitted her written report (see attached).
*. Pool Committee . Barb Culp submitted her written report (see attached).
*. Architectural & Maintenance Committee. . . . Dave Trowbridge submitted his written report (see attached).
*. Chain Gang/Auxiliary. . . .Barb Culp, President, submitted her written report (see attached). Barb also requested that either she or Nancy Trowbridge be permitted to keep a key to unlock the clubhouse for the daytime activities. The new clubhouse coordinator works during the day and is unavailable to unlock the door during the week,
*. Finance Committee. . . .Alan Hahn prepared a financial report for September 2006 which shows that we are still doing very well for this year-to-date. There is $173,540.00 in Total Assets. The positive balance in net income of approx. $39,000.00 reflects two significant items. One, is that we have not paid for any snow removal this year. And the second, is that our insurance premium was prepaid last year in December. Alan said he estimated that by year end, after all expenses are paid, there may be a surplus of approximately $ 10,00.00 which will be added to our reserves.

OLD BUSINESS:
*. Turnover of the streets to City ORD 05-885 Bill reported that Fischer had met two weeks ago with the Northern Area Planning Commission, the contractor who originally laid the streets for Fischer Homes, and Theilen, the engineering company that did the testing. The Northern Area Planning Commission could not find their papers from 1999 when the streets were inspected for the City of Cold Spring. Lorie Howard from Fischer told Bill that she would have to meet with Fischer management and decide what they could do for us. Bill has not heard back from her as to what Fischer can do to help us. He will continue to follow with Lorie Howard to find out what our next step should be.
* Terrace hall Chandelier sensors. . . .Bill reported that the job is now finished. All of the Terrace Buildings have a sensor installed to help conserve our energy bill for the lighting.
. Exterior painting of Bldgs. 1, 2, 3, 17 Exterior painting of Bldg. 3 is completed. They are in the process of painting Bldg. 2, and are cleaning Bldg 1, and 17 to prepare for painting. The rainy weather has caused some delay. The entire building is power-washed and must be dry before they begin painting. Weather permitting, they should complete painting in 7-9 days. They have promised to put us on an earlier schedule next year.
*. Gravel for air conditioner pads. . . . Thanks to the help of Bill Frambes and Chuck Gerhardstein, gravel was placed around all of the air conditioner units. This is actually a condo owner responsibility, however the board voted to do this for the entire community.
* Generic Permit/Front door screen door/Villa buildings. . . .Alan Hahn presented a generic permit to allow Villa owners to add a screen door over their front door. A motion was made by Alan Hahn to approve this generic permit; seconded by Marge Rauch. Motion Carried.
• Cleaning of Chardonnay entrance rug… Marge Rauch arranged to have the entrance rug cleaned for Chardonnay when she was having her condo carpet cleaned.
• Bill Frambes announced that Ron Culp is maintaining a log of all items in the community that require periodic maintenance and items that have been repaired or replaced. He also has agreed to be our new editor of the “Grapevine”. Bill gave him a big “Thank You” for taking on this tremendous job.

FLOOR OPEN TO OWNERS:
*. Pat Rummel mentioned that the next monthly dinner out will be at 6: 1 5 p.m. at the Green Derby.
*. Jerry Lehkamp asked whether our condo fees were going to increase. See #1 below, under New Business, 2007 Operating Budget.
*. Pat Rummel asked if the contractor who sealed the driveway/concrete cracks was coming back to clean up the excess tar that was left in various areas. She also mentioned that there was a problem with the mulch which sprays up on their cars in the parking area. Bill asked Beth (Landscaping Committee) to ask T.R. Gear if there is some reason for this. She also mentioned that she has had a confrontation with a resident about the thermostat setting in the Fitness Room. Bill mentioned that a fan had been placed in the room to keep the room cooler while in use. Pat Rummel requested that the Committee heads be permitted to attend the caucus meeting to improve communication about what is being discussed pertaining to their respective committees. Since there was no objection to this, Bill invited the Committee Chairs to attend the front end of the next caucus meeting. Pat Rummel asked for an updated phone directory. Pat asked, on behalf of the Social Committee, that the owners purchase another storage cabinet to replace the wine rack located under the TV.
* Nancy Trowbridge asked about the Memorial/Garden Walk. Alan Hahn said that he had a motion to present under New Business and also he discussed this with Rhoda Wheeler and Barb Culp from the Chain Gang to look into taking care of this planning.
*. Ron Culp gave a special “Thanks” to Peggy Mullins for getting our November issue of the Grapevine together. Ron asked that all of the committees give him information to put into the newsletter to keep everyone informed.
*. Rhoda Wheeler suggested that we get a volunteer from each building to pick up and deliver the newsletter each month to everyone in their building.
*. Ron Culp said that he had taken the newsletter to Staples for printing at a cost of $55.00. He asked if anyone had any suggestions of where he might get the printing done for less money. Jerry Lehkamp suggested that he ask D & D printing.
*. Carolyn Ford suggested that we might think about sending the newsletter via E-mail to many of the owners who have computers to save on printing costs. Bill Frambes said that he has a list of all the E-mail addresses and will give them to Ron if he wants to set this up.

NEW BUSINESS:
. 2007 Chardonnay Annual Operating Budget The budget presented proposes no increase in the monthly assessment. The Finance Committee is recommending a new concept of not reserving money for any item for repair or replacement less than $10,000.00. They further recommend putting a contingency reserve of $20,000.00 in the operating budget each year for these repairs or replacement. If all of this amount is not used within a given year, then the excess will be put back into our regular reserve. The regular reserve includes only ten items, rather than 20 to 30 items which simplifies the budget process. The reserve now covers only the major high dollar costs of items that will need to be replaced/repaired. Alan Hahn mentioned that the monthly assessment will most likely increase next year since many of the service contracts expire at the end of 2007 and will have to be renegotiated. A motion

was made by Gerrie Kortekamp, seconded by Marge Rauch to approve the proposed budget. Motion Carried.
* Memorial Garden area behind clubhouse. . . . See the attached proposal prepared by Alan Hahn. This proposal has been discussed with Rhoda Wheeler and Barb Culp with the Chain Gang. Dave Trowbridge has already obtained one bid for this work and he is working on a second bid for the job. Bill asked that the Chain Gang come up with a plan of where and how they want the Memorial Garden placed and how they will find the project. This will help get the project started and underway. Dave can bring his bids to the board for final approval. A motion was made by Alan Hahn to approve this recommendation; seconded by Jim Remley. Motion Carried.
*. Storage building for Chardonnay. . . See attached proposal prepared by Alan Hahn. Dave Trowbridge has already looked at costs at Lowes and Home Depot, and Bill will ask the Landscaping Committee to give their assistance in deciding where the shed should be located and to make sure it looks acceptable for the community. A motion was made by Alan Hahn to approve this proposal; seconded by Marge Rauch. Motion Carried. Bill reminded everyone that this was just a motion to get started on this project. Nothing will happen until the board has bids and knows we can afford to do this.
*. Review and update rules and policies for Chardonnay. . . .Bill said we will be looking at the Welcome Book, the Clubhouse Rental contract and rules, the policy on fines etc. These will be divided up among the board members for review and updating.
• Nominating Committee for board candidates We are still looking for willing candidates to run for the two open board positions. If anyone knows of anyone who is interested, let the Nominating Committee know.
• Annual meeting in January 2007 Bill asked that the annual owner’s meeting be moved from February to January this year since some of the board members will be out of town in February. All of the board agreed to move the meeting to January. Bill will check with Barb Schneider to see about the availability of meeting dates in January.

The next board meeting is scheduled for January 04, 2007 at 7:00 P.M. at the clubhouse. The meeting was adjourned at 8:45 P.M.

Report to the Board — November 2, 2006 Welcome Committee

Since the last board meeting, we have visited no new residents.

Also, since the last board meeting, the Welcome Committee has sent out 6 get well cards and 3 condolence cards, and made two memorial contributions.

We are sorrowful over the loss of two outstanding members/helpers of the Welcome Committee. Betty Barnes was the first chairwoman of the committee. It was through Betty’s efforts that the committee was started and organized. We are also saddened over the loss of Adelene Mullins Adelene was the provider of so much help to our committee. She was the person who let us know who the new people were, when they moved in, and she provided the phone books we handed out to our new residents.

HOA REPORT FOR NOVEMBER
FROM SOCIAL COMMITTEE
EVENTS FOR SEPTEMBER AND OCTOBER

As reported at the last meeting the pool closing, held on
September 4th, 2006, was a lot of fun thanks to Ken Allen and
Chuck Gerhardstein.

Monte Carlo Night, which was held on September 22nd, was such a big success, even with the downpour of rain that night, that we’ve decided to have two for next year.

Bingo-- September there were 15 in attendance making the “POT OF GOLD” for October $13.75.
- October there were 12 in attendance making the “POT OF GOLD” for November $16.75

We had our wine tasting on October 13th, and had around 20 in attendance. Stone Brook Winery donated 2 bottles of their wine for door prizes along with two more that we gave away.

Last in line for October was our costume party. There were 17 in attendance. Rhoda and Bob Wheeler won the prizes for 1st and 2nd place for their costumes and Barb Culp won a prize for the best head drawing of a pumpkin.

POOL COMMITTEE. REPORT
NOVEMBER 2, 2006

The work of the pool committee is virtually finished for the year. The committee met on Sept. 20 and decided not to take any definitive action about unauthorized persons in the pool. Any action would require additional costs and/or additional persons to inspect identification. If this problem increases next summer, it could come to the point where the pool would be available to residents only, so we ask all residents to respect and abide by the rules and regulations.

Twenty four new chairs were purchased to replace those discarded that were rusty and unsafe.

Furniture is covered for the winter. Thanks again to those residents who assisted in any way in making our pool a fun place this past summer

ARCHITECT MAINTENANCE
REPORT
NOVEMBER 2006

MAINTENANCE TASKS DONE

1) Bill Frambes and Chuck Gerhardstein dug out the pea gravel and mulch from around (107) air conditioners and replaced that with crushed rock. Three of the units had to be raised to keep them out of the water.

2) The water faucet leaking at 100 Sonoma was reported to Towne Properties and repaired.

3) The drainage problem under 1200 Vina Vista was reported to Towne Properties and repaired.

4) Chuck Gerhardstein repaired the right hand railing leading from the street to the clubhouse.

5) Weather stripping under clubhouse door was repaired.

6) Twenty-Four new chairs for around the pool were purchased with money from the Pool Committee. Thanks to Bob Wheeler and Richard Archambault for helping Dave
Trowbridge get the chairs.

7) Pool furniture was put away for the season. Another thanks to Bob Wheeler

8) Chuck Gerhardstein spliced a garden hose and a soaker hose that were cut by the lawn mowers.

ONGOING TASK

1) Obtaining prices for a patio near the pool and clubhouse and also storage shed.

CHAIN GANG REPORT
NOVEMBER 2, 2006

These young at heart ladies have been working diligently on items to be sold at St. Joseph’s annual craft show on Saturday, November 11th.

A wide array of gifts and holiday decorations will be reasonably priced to augment their treasury enabling them to enhance their clubhouse and community.

Candles & Christmas wreaths were purchased by the Chain Gang to provide the clubhouse with a real holiday atmosphere.

The group is also planning their annual Ladies Christmas Luncheon on December 11th which is always an elegant year-end affair.

MEMORIAL GARDEN

This is a motion to express the Board’s intent to develop a memorial garden based on ongoing interest in the community. The memorial garden will include a hard surface in the area defined by the clubhouse, swimming pool, bank and the drainage culvert. It will include an appropriate and attractive place to memorialize residents who have passed on and perhaps other major events in the lives of residents. Currently we are thinking of using engraved bricks or paving stones.

Until the garden is completed, we will place memorials in a temporary location to be determined, such as the flag pole or the Gazebo.

Currently the Board does not intend to raise assessments to pay for this, but to finance the garden from donations and end of year unused funds.

To this end, the Board asks the Chain Gang to recommend an appropriate memorial, including costs and implementation policies and a temporary location. In addition, the Board asks them to create and manage a fund for purchasing memorials and accumulating funds allocated to developing the garden.

Furthermore, it asks the Architectural and Maintenance and Landscape Committees to develop a design and obtain cost estimates for the memorial garden.

STORAGE SHED

Storage for Board and Committee assets is becoming increasingly scarce. Consequently additional storage space is a critical need. This is a motion to express the Board’s intent to purchase and place a pre-built storage shed, suitable for storing the pool furniture, seasonal items stored in the clubhouse store room and closets and unused maintenance items.

The storage building will be located on the property but not in the vicinity of the clubhouse.

Currently the Board does not intend to raise assessments to pay for this shed, but to finance the shed from donations and end of year unused funds.

To this end, the Board asks the Architectural and Maintenance and Landscape Committees to recommend a suitable location and building and to determine purchase and setup costs.
