BOARD OF DIRECTORS MEETING

MAY 25, 2005

The meeting was called to order by Bill Frambes, President at 7:04 PM.

Attendance was taken. Present: Bill Frambes, Jim Smalley, Chuck Gerhardstein, Ned Barnes, and Gerrie Kortekamp, Board Members; and Dave Munro, Property Manager from Towne Properties.

After the Pledge of Allegiance, Bill deviated from the normal meeting agenda by opening the floor with a review of events which have occurred since the fire in building 1400 on the evening of May 19, 2005. He began with expressing everyone’s concern for the residents affected by the fire. Thank you’s were made to those who assisted that evening including Daryl Moore who called the fire department and Andrew Hutchinson and Tchapo Long who ran into the building and knocked on the doors to let the residents know that the building was on fire. Bill asked for a motion to reward Andrew and Tchapo with a gift certificate of $25.00 each for a restaurant of their choice. Chuck Gerdhardstein made a motion and a second was made by Ned Barnes. Motion Carried. Andrew chose Don Pablos and Tchapo chose O’Charley’s.

Bill continued by mentioning how Dave Munro from Towne Properties called the night of the fire and was on the phone with the insurance representative.
Dave Munro and Paul Davis Restoration were on site the following morning to assess the damage and assist in filing our claim. Steve Rigsby and Rick Patton, from Paul Davis Restoration, explained the process that they will going through in order to restore the building back to where it was before the fire. They stressed how important communication will be during this process and encouraged everyone to ask questions. Rick Patton explained that a temporary tarp has been secured over the damaged area of the roof. It is “temporary” and it may be necessary to replace/repair it if we get high winds before the permanent repairs are made. The roof trusses have been ordered but may take 4-5 weeks to arrive on site. Electric has been restored to all units, but one. This will allow them to run dryers to clean up some of the water and moisture damage. They are coming every day to run moisture meters and will remove any drywall and insulation to prevent any mold/mildew. Sealants will be used on the wood framing to eliminate smoke odors. A question was raised about installing a lightning rod on the top of each building. Bill responded that he had spoke to Jeff Haas from Fischer Homes about this. Jeff explained it would run approximately $10,000.00 for each building to run lightning rods. Typically, lightning rods are not installed on residential buildings; they are usually installed on commercial hi-rise buildings. Joe Malloy expressed concern because no one heard their smoke alarm go off when the fire occurred. Bill explained that there are no smoke alarms in the roof area where the fire started. A question was raised about what type of noise barrier material will be used. Rick Patton said that most likely it will be the same material that was used when the building was originally built. They will be using whatever is the standard material, according to the current building code. Bill explained what our condo insurance covers and what it does not cover. Basically, it covers the replacement of all the walls, ceiling, flooring, appliances, and cabinents as they originally existed before moving into the unit. Everything that existed when the unit was purchased will be replaced/restored as it was originally when the unit was purchased. This fire is considered as one occurrence and has a $5,000.00 deductible which will be split by the nine units with damage. The plan is to restore the three end units and then work on the six units in the center where most of the fire damage occurred. The rough estimate for completing the repairs is 6-7 months on the far side, with 3-4 months on the short side. A special “Thank-You” was made by Betty Barnes to Bill Frambes for all of his time and concern for the community.

Bill closed the open floor and the meeting resumed with our regular agenda. The minutes from the March 23rd board meeting were presented. A correction was noted by Bill Frambes. Under “Old Business” … “Meanwhile, Bill has written the Mayor, requesting that the council renew its commitment to Chardonnay and honor their November decision to take over the upkeep and maintenance of our streets.” Correction: ….Meanwhile, Bill has written the Mayor, requesting that the council renew it’s commitment to Chardonnay and honor our November 24,2004 request to have the City of Cold Spring take over the upkeep and maintenance of our streets. There being no other corrections, the minutes were approved with corrections. A motion by Jim Smalley was made to approve, second by Chuck Gerhardstein. Motion carried.

OFFICER REPORTS:

• Ned Barnes reported that 15 people showed up for the clean-up of the clubhouse. He thanked everyone and asked that we notice the upgraded silk flowers that were replaced in all the arrangements.

MANAGEMENT REPORT:

• Bill dispensed with the management report. Dave has been out due to the passing of his mother and he has been at Chardonnay almost every day since the fire and is also very involved with the 14 other properties that he manages. He has continued his work on delinquencies and has passed along notices that have been sent out. He will be submitting a report next month.

COMMITTEE REPORTS:

• Social Committee…..Chuck Gerhardstein reported for Mary. “Name That Tune” guided by Ken Mueller was our April function. Our usual bingo games were held in April. On May 14th at the clubhouse, the morning began with a delicious brunch. Then “Spit & Polish” , the annual “Spring Cleaning” of the clubhouse began with dusting, window washing, and cleaning out the refrigerator and cupboards. This coming Saturday will be the “Pool Opening” and will be an all-day affair. We will begin with a brunch at 10:00am, followed by an official ribbon-cutting ceremony to open the pool at noon, and then a BBQ Supper at 5:00pm. It is requested that everyone bring a side dish. BBQ and buns will be furnished by Chardonnay.
• Welcome Committee…..Betty Barnes reported that her committee has visited four new residents since our last meeting. The committee has sent out cards to some of the residents who have been ill. Please keep the committee informed if you know of anyone who should be sent a card.
• Pool Committee…..Helen Lehkamp reported that we were required to get new Board of Health signs to post at the pool entrance. They have purchased them and they will be installed before the pool opening this Saturday. They are still working on getting a new pool lock for the gate to the pool. Kathy Frambes reported that there will be an article in our paper, as a “gentle reminder” for everyone, of the rules for the pool, especially where the number of guests are concerned. Another gentle reminder, to those who use the tables with an umbrella, to put the umbrella down when they are finished using it, and then make sure the gate is locked when leaving the pool area.
• Architectural & Maintenance Committee…..Alan Hahn submitted his written report to the board (see attached)
• Landscape Committee…..Beth Maggard reported that the committee had met with David Koester from the local Campbell County Extension Office.(see attached report) They will be using some of these recommendations when they make their decisions on what to plant in the flower beds in the common areas as well as what shrubs/trees need to be replaced. They will be expanding the two flower beds in front of the clubhouse and will begin some of the planting around the clubhouse this week. A load of topsoil is being delivered this weekend, which will help amend the soil at the front entrance.
• Finance Committee…..Bill Frambes presented the most recent financial statements which are through the month of April,2005. The YTD actual vs the YTD budget looks very good. On the revenue side, our actual revenue received was $95,000 vs the budget estimate amount of $88,000. On the expense side, our expenses were budgeted to be $104,230. YTD vs our actual YTD expense of $91,800, which is approximately $12,000 less than we anticipated. Copies of financials will be provided by request.


OLD BUSINESS:
• Chardonnay streets/turnover to the City of Cold Spring…..Bill has finally received a reply from the Mayor, in response to his March and May communications. The Mayor indicated in his January response, that after inspection by the Public Works Committee and review by the Northern Kentucky Area Planning Commission, that the repairs, needed to bring us to acceptance, could be categorized as minor in nature. Bill had sent an E-mail in March but received no reply, so he sent another E-mail in May requesting an update. The Mayor responded this past Monday. He said that, as he mentioned in his January response, the issue at hand has generated various research questions. The issue has been referred to the City’s Planning & Zoning Commission who will be researching and reporting on issues presented by council. He did not expect to receive their response until late June. Bill will continue to follow.
• Terrace Bldgs./Hall Chandelier Timers….Bill will begin scheduling with the electrician to get timers installed in the remaining Terrance buildings He has been in touch with the electrician and they are considering a quicker approach to getting this accomplished.
• T.R.Gear/drainage on Vina Vista……Chuck Gerhardstein reported that T.R.Gear was scheduled to come out last week, but they were unable to because it was too wet. They are trying to re-schedule this visit, so that they can look into the drainage problem on the same day that they will be cutting grass (saving us the cost of a special visit). They will be here this Friday.
• Master Deed /Amendment for leased condo units…….Dave Munro has filed the amendment with the county clerk’s office, thru our attorney. Gerrie will get with Dave to get copies distributed to each owner, for their record of the change to the Master Deed.
• Spring Walk in Chardonnay….Bill Frambes, Jim Smalley, and Alan Hahn walked around the buildings and looked for any repairs or painting that might be required. Some of their suggestions were included in the Architectural & Maintenance report. Several bird feeders were observed hanging on patios throughout the community. Since bird feeders (with the exception of Humming Bird feeders) are not permitted, Bill has asked Alan to prepare a list for Dave Munro to send notices to remind those owners of our rules regarding bird feeders.
• Chardonnay Memorial area…. Jim Smalley has sent an E-mail to Diane Harmling about the selection of an appropriate area for the memorial. He has not received a response as yet and will continue to follow.
• Chardonnay Internet Web Page…… It was suggested that Chardonnay should look into providing a Web Page on the Internet. Jim Smalley volunteered to look into all that would be needed to start our Web Page. He is working with a friend, who has given him a pretty good price to create one for us. He is familiar with setting up and maintaining a web page. At the current time Jim wants to provide information on the site that can be used by the residents as well as prospective buyers. He is putting the information onto a CD and it will then be entered on the web site. The information Jim wants to post on the web include all of our written documents. This would include our Master Deed, including our recent amendment; telephone directory; three months of the Grapevine and three months of our financial statements. The cost would be $380. to build the web site and a monthly fee of $25.00 to maintain it. He estimated that it would take approximately four hours at $95.00 per hour A concern was raised by Gerrie Kortekamp about publishing our telephone directory on the web page, and it was agreed that it would NOT be included. After discussion, a motion by Gerrie Kortekamp was made to create the web site with Jim’s friend. Second by Chuck Gerhardstein. Motion carried Jim will contact him about getting started

FLOOR OPEN TO OWNERS:

• A concern was raised by Tim O’Hearn regarding raw sewerage coming from the drain behind his building. Bill explained that he did not believe that this is a sewer drain because there are no sewer odors coming from the drain. The drain pipe that is in question, is a drainage pipe which runs underground around the entire building for the footers and the foundation of the building to drain, and the pipe just ends there. It used to drain out into the ground but it remained wet there, so they decided to run the drain all the way down to the street, but they kept it on top of the street so that it was always flooding out into the street. Water flooded out on top of the ground into the street and became nasty rather than draining properly. They thought they could cut it back up and “T” it so that it would go out two ways and put the piping that has holes in it so that it would bleed out into the yards and stop that running over into the street.. They initially looked into tying that drain in, underneath the ground, directly into the sewer , but the cost of $2,300, to tear up the street to tie the drain into the sewer line, was too high. Then we came up with the idea to “T” the drain but the problem with that is, they started with the same pipe with the holes in it so that as soon as it hits the drain it drains right back down that path to the trench where the problem is. What they plan to do when they come out again, is to extend solid pipe to the right and left sides at the end of the “T”, so that it drains out further away from the trench and we hope this will solve the drainage issue. T.R.Gear will come out and repair the lawn when we are satisfied that the problem is fixed.
• Joe Malloy gave a very sincere expression of appreciation for all the people from the community who helped move their personal items into their garage the day following the fire. Both Pat and Joe were extremely appreciative.
• A complaint was made about two cars that were traveling up the entrance driveway, side-by-side, leaving no room to move around them. Bill asked that, should that occur again, to get the license number of the cars involved and to call the police and/or Towne Properties to report the incident.

NEW BUSINESS:

• 1400-1402 Building fire –Update…… All issues were covered at the start of the meeting. Please keep the board members informed of any concerns or questions that you may have.
• Carpet Cleaning….The Terrace Building hallways and Clubhouse carpets have been cleaned. Only one building had complaints about the carpet not looking clean. The carpet cleaners returned, and retreated the problem spots on the carpet.
• Flagpole dedication Plaque…..Jim Smalley reported that a dedication plaque had been purchased for approximately $135.00. He will turn the receipt over to Dave Munro for reimbursement. The plaque will be in place for the Memorial Day program.
• Drainage problem behind Bldg. 6…….As reported earlier by Chuck, T.R,Gear will be out this Friday and will be looking into the drainage area. He will be on hand to make sure that the issues are resolved in a satisfactory way.
• Clubhouse thermostat problem…..Bill reported the problem with the thermostat in the exercise room in the clubhouse was simply that a circuit breaker was thrown out. As soon as the breaker was reset the thermostat appeared to be working correctly.
• Knox-Box Rapid Entry System……Bill explained how the Knox-Box can assist our residents in the event of emergency situations within our units, when we cannot respond to let the emergency personnel into our units when they arrive. It is a box that is mounted outside of the door and contains a master key to open the outside door (in Terrace Buildings) and inside keys for each unit (provided the owner wishes to use this feature). It would not be necessary for the EMT’s or firemen to disturb other residents to get into the building or to break into the inside door of the individual unit, in order to respond to your emergency needs. This box is now required by code on all new multiple-unit buildings. Bill has estimated that it will cost each owner approximately $27.50 in the Terrace Buildings. We will have to survey the owners. If a majority of owners approve of this feature, then Bill will notify the Cold Spring Fire Department to order them for us. The Association will pay the installation cost to have them installed. Perhaps that cost will be lower if volunteers from the community offer their help. The Board would approve the Knox-Box for all units, not just the Terrace buildings.
• Benches for the Common Areas….Ned Barnes has spoken to Alan about purchasing some benches for those who walk within the community, and wish to stop and rest briefly. They have considered locating one by Napa Valley and the other on Monterey Lane where it intersects Vina Vista. They will come up with a proposal to present it to the board.
• Exercise Room Rules…..Residents who use the exercise room should follow the rules provided in the Welcome Handbook. Bill suggested that the rules be printed out and posted inside the exercise room. Headphones should be used when others are in the room. Music should be kept at a reasonable level if you are exercising alone. No one should be pushing the thermostat levels to extreme levels to provide more or less heat/air-conditioning. Anyone who observes someone violating the rules, should report this to Towne Properties with the owner’s name and unit number so that a violation letter can be sent

The next board meeting will be held July 27, 2005 at 7:00 P.M. at the Clubhouse.
