Board of Directors Meeting
March 15, 2007

Call to order, pledge of allegiance and prayer (by Paul Ford).

? Condolences and sympathies to Pat Malloy whose brother passed away.

? Attendance: Bill Frambes, Ned Barnes, Paul Ford, Alan Hahn. Absent: Marge Rauch

? Approval of minutes from January 2, 2007 meeting

Officers Report:
? Bill Frambes said thank you to Jan Grefer for filling in for Marge Rauch in taking the minutes of the meeting.
? Nothing new to report.

Management:
? Lydia Peeno was introduced again as taking over for Dave Munro. She said everyone she’d met from Chardonnay were very kind and positive. Said she was looking forward to our walk thru coming up so she could get to know the property, etc. Feel free to call her with any questions.
? Bill Frambes: Welcomed the two new board members: Paul Ford and Ned Barnes, although, of course, Ned is also a returning board member. Looking forward to working with both of them.

Committee reports:
? Chain Gang – see attachment A – per Barb Culp.
? Pool Committee – the pool is still closed. Looking for someone to be chairman of the pool committee for this coming year – already has someone for following year – please let Barb Culp know if you would like to do this.
? Welcome committee – no report.
? Social committee – no report.
? Landscape committee – no report.
? Architectural and Maintenance committee – see attachment B.
? Finance Committee – Don’t have numbers for February yet. Preliminary numbers only available. We spent in the month of January and February about $10,200 on snow removal. The budget was $10,225 for 2007. Everything else was pretty well ok. We are moving and combining a lot of items in reserves and should end up with only 10 items for reserves. Lydia is working on getting that accomplished. Reinvested one of our CD’s of about $26,000-$27,000 again with Guardian at 5.35% for 14 months. Excess cash is in a money market fund and ended up earning over $4,000 last year.

Old business:
? Annual meeting: Thank all of you for a good annual meeting. Thank you to the Chain Gang for refreshments. Thank you to Barb Schneider for the facility. Thank you to Towne Properties, George Hope, Dave Munro, and Lydia Peeno.
? Thank you to the nominating committee who got good candidates.
? There were fewer owners in attendance at the annual meeting than the previous two annual meetings. That is not good. We had 50 owners represented, which is exactly what we needed. We had 14 proxies for a total of 64 owners in attendance including proxies.
? Have to do something to get attendance back up.
? Clubhouse: As you know Rhonda Brandt is co-coordinator for the clubhouse and is doing this job until Rhoda Wheeler returns in May. Early in March (or late Feb) Rhonda fell at her parents house and badly broke her ankle and tibia bone – had to have surgery – is now in a wheelchair and housebound. Bill has been helping Rhonda as needed with Clubhouse issues. (See Attachment C)
• Activity: January – 13 community events and 1 rental
• February – 11 community events and 2 rentals
• March - 3 rentals so far

? Turnover of Streets to the City: Bill Frambes went back to city to discuss this issue and found that their road committee has changed. It now consists of council members, Roger Moore and Lou Gerding. Bill talked to Roger a few weeks ago and he was very negative and said nothing had changed. Bill told Roger that the city already owned two of the three problems we have – but Roger still insisted nothing had changed. Roger said he’d bring it up at the next meeting. Bill called Roger back after the next meeting. Roger said the consensus of council is that we are not going to bring it back up. Bill called Dave Guidugli to discuss this and he told Bill that the topic was not brought up at the meeting at all and that nobody talked to him about it. Apparently the two that have the consensus are the two on the road committee. Next time Bill talked to Roger Moore he said “You need to talk to Lou Gerding about this”. Bill spoke to Lou last night (March 14, 2007). It was not a good conversation – it was a very difficult conversation. Lou said immediately I have the report right here in front of me and you failed one thing after another. Lou accused Bill of not attending the meeting that Thelen was at – but Bill reminded him that he was there – and that Bill spoke to Council at the end of the meeting. The more Bill reminded Lou of what was said at the meeting the more Lou backed off on his accusation. Lou said I would suggest you talk to your attorney and go after Fisher to fix the roads. Bill said we would have to talk to an attorney and consider going after Fisher as well as the City of Cold Spring, especially since the Northern Kentucky Area Planning Department lost the road inspection records.

The board will decide if a consultation with an attorney is the next step in this situation.

? Remembrance Lane Guidelines – see attachment D – the board requested that the Chain Gang come up with guidelines for the engraving. The board adopted the attached guidelines.

? Storage building for Chardonnay – the storage building is in place and waiting to be painted. Needs some other work as well including perhaps a skirting around the base to bring it to the ground since it is up on risers. More shelving will be added. Landscape committee will work on landscaping the building. Have one complaint about the building – all other comments have been positive.

? Parking area - spots on cars: the spots are coming from the mulch due to what is called artillery or shotgun fungus which can shoot up to 20 feet. Bill Frambes has researched this. If interested go to web search engine and input “artillery fungus” or “shotgun fungus” and read all about it. Only remedy would be to take up all mulch and put something else down. Too costly. Will leave as is.

Floor open to homeowners:

Ron Culp: re mulch – what about the same mulch as at Skyline – shredded tires.
Reply:
Bill Frambes: We’d still have to take up existing mulch first – isn’t cost effective. Even if we spray insecticide there is not a guarantee all fungus will get sprayed – and eventually the fungus will come back.

Marilyn: Re streets – what are your plans for the streets?
Reply:
Bill Frambes: We don’t have a plan yet. Since I just spoke to Lou Gerding last night. The board needs to meet to decide what’s our next step.

Homeowner asked about the guidelines for storm doors w/screens – told they are available on the website – if you can’t get it that way please call Alan Hahn and he’ll help you.

The question came up about the website - Jim was asked to check to see how many hits were on the website – so that a cost analysis can be made. Website needs to be more flexible – if not we need to consider the cost. Chardonnay newsletter costs about $57/month to print. Should we only print newsletter for those requesting it and all others would read on-line? These questions need to be explored.

Gutter deflectors: Gary of Towne properties made gutter deflectors and these should be
installed within the next month.

New business:

? Chardonnay Board Spring walk on Monday, April 9, along with Chuck Gerhardstein, at 9am meet at the Clubhouse. The board, Lydia from Towne Properties, TR Gear, Chuck for architectural committee and Beth, hopefully, or someone from the landscape committee will attend.

? Painting of buildings will be included during this walk - we will be painting four more this year - one terrace building and three villas. Proposal for painting these buildings – price went up 6% last year and 5.8% this year. Total to paint 4 building $19,530.00. Building 15 is shorter than 16 – only 8 units – will talk about this and other discrepancies in size of buildings to be painted with company to get adjustment on bill. This money will come from the reserve. The painter wants to begin painting in late spring or early summer. Paul Ford made a motion, subject to a change in the price, Ned Barnes seconded and all agreed. Lydia will call to schedule.

? Clubhouse carpet seams – carpet not wearing satisfactorily – seams are fraying – carpet company said to trim – the board has decided to get the carpet company back in to try to work this out so this won’t continue.

? Clean exercise room – not part of clubhouse coordinator responsibilities. Looking at the
possibility of having the cleaning people come here once a month to take care of it.

? Treadmill – Motor was dead on the treadmill. Bill Frambes worked with a repair person
and it was fixed for a total of $500 for a new motor, new motherboard, new fuses and
some other adjustments. Once every 3 months grease needs to be applied under the belts.

? 2007 project list:
• Completed over 40 out of about 49 on the list from last year.
• 2007- some carry over from last year – right now we have 17 items for 2007.
The board has to prioritize these items. Review the Chardonnay rules and regulations and produce new books. Update the welcome book. Finalize clubhouse renter contract, rules and changes. Look at investment polices and changes there to. Would like to have any input that owners want to give us on this list.

Reopen the floor:
Jim – garage lights needing work/replacement since they are getting discolored, etc.

Porch lights are brittle and breaking – probably need to be replaced.

Chandeliers – lights out report to Towne Properties.

Doorbells – working on repair to make appearance better.

Article in newsletter re: odorless sand by dumpsters – throw some in dumpster in summertime when empty – helps with odors. If you have a large item to be disposed of, call Rumpke and they will give you direction where to put item and they’ll pick it up.

Rumpke needs to repair walls of dumpster enclosures where truck driver hit it.

Everyone – please use both dumpsters.

Perhaps the hall cleaning people could also wash down the interior of the entrance door –
perhaps the exterior also – when they wash the windows. It will help appearance in
between painting.

Any thought or ideas please communicate with any of the board via e-mail or telephone. What committees need to do so that we can make things better.

The next board meeting is scheduled for Thursday, May 17, 2007 at the clubhouse.

The meeting was adjourned at 8:30 p.m. (approximately).

The Board opened for an executive session meeting to discuss delinquent accounts. This meeting was adjourned at 9:30 p.m.

Chain Gang Report
March 15, 2007

The ladies of the Chain Gang have finalized their plans for their Pancake Breakfast on Saturday, March 24, beginning at 9:00 am. For $5.00 per person you can enjoy pancakes, sausage, fruit plus coffee and juice.

Proceeds from the breakfast will be used to enhance the clubhouse or our new patio area.

Our special thanks to all of the ladies (and one gentleman) who help deliver the “Grapevine” each month. Your help is invaluable.

Architect Maintenance Report
March 15, 2007

Tasks completed:

1. Storage facility has been completed.
2. Christmas decorations have been taken down and stored away by Bill Frambes, Chuck Gerhardstein and David Trowbridge.

Ongoing tasks:

1. Shelving and storage hooks are to be installed in Storage Facility.
2. Install some type of skirting around bottom of the facility.
3. Exploring the possibility of putting a ramp to the facility door.
4. Shutters and trim on doors of the facility to be painted.
5. Landscaping to be added around the facility.
6. Still exploring the possibilities of improving the appearance of the name plates and door bells on the Terrace building.

Attachment D:
Guidelines for “Remembrance Lane”

What is it?

A brick located around the newly constructed patio by the pool inscribed with the NAME of the deceased and the DATE of their DEATH.

Who is eligible?

Any adult or child who died while living in the Chardonnay Community. No pets are eligible. Permission from the family of the deceased must be obtained before the brick is inscribed.

What does this cost?

The cost of the inscription is approximately $20.00 and we welcome the financial support from family, neighbors and friends. Monies received for this project will be kept in a special account with Towne Properties and any surplus funds over the cost of the brick inscription will be used to landscape the area with flowers and/or shrubbery.

A formal dedication of “Remembrance Lane” will be held in conjunction with the pool opening in late May.
