CHARDONNAY COUNCIL OF CO-OWNERS
ANNUAL MEETING
FEBRUARY 07, 2006
ELKS CLUB, COLD SPRING, KY.

The meeting was called to order by Bill Frambes, President at 6:30 P.M.

After the Pledge of Allegiance, Bill Frambes introduced special attendees from Towne Properties:George Hope, District Manager of Northern Kentucky and Pat Kerner, Administrative Assistant.

In attendance were board members, Bill Frambes, Jim Smalley, Chuck Gerhardstein, Ned Barnes, and Gerrie Kortekamp; and Dave Munro, Property Manager from Towne Properties.

The reading of the minutes of the February 23, 2005 annual meeting was waived since all homeowners received a copy. A motion was made by Jim Smalley; seconded by Chuck Gerhardstein to approve the minutes. Motion Carried.

MANAGEMENT REPORT:
Dave Munro reported the following financial figures as of December 31, 2005
. Assessment $272,903.00
. Operation Expenses $293,946.00
. Reserve Expenses $ 22,137.00
. Reserve Balance $125,381.00
Dave noted that of the $125,381 .00 in reserves, $61,484.00 was placed in two separate Certificate of Deposit accounts. Bill Frambes added that these CD’s had earned approximately $4,500.00 in interest during the year.

George Hope presented the ballot noting that there were four candidates running for three open positions. At this time, he opened the floor for any additional nominations for the board. There were none and nominations were closed. A motion was made by Rick Rummel, seconded by Anne Kendall to close the nominations.

Two of the four candidates for election, Alan Hahn and Bill Frambes were introduced and given a few minutes to speak. Marge Rauch and Rhoda Wheeler were out of town and not present at the meeting.

The Nominating Committee, Adelene Mullins, Jerry Lehkamp, and Barbara Culp were asked to assist in the collection and counting of the ballots.

The floor was opened for questions and comments of general interest of our entire community.

The Chairpersons of each Committee were introduced:
Alan Hahn — Architectural & Maintenance Committee
Beth Maggard — Landscape Committee
Kathy Frambes/Helen Lehkamp — Pool Committee
Pat Rummel/Marilyn Jenner — Social Committee

Judi Hahn — Welcome Committee
Bill Frambes — Finance Committee

Bill Frambes highlighted the many accomplishments made by the board this past year:
* First and most important — The fire restoration of 1400-1402 Napa Valley. All the residents were back in their condo within seven months.
* Repaired drain in the parking area on Vina Vista.
* The Social Committee purchased 12 chairs and an ice tea maker for the clubhouse
* In July the board recognized the beginning of the Ladies Auxiliary (Chain Gang). They have purchased 40 place settings of dinnerware and tablecloths for clubhouse events. They have also decorated the front entrance of Chardonnay for Halloween and Christmas.
* Pool railing was repaired and a new lock was put on the gate. Ken Allen and Alan Hahn repaired the emergency stretcher.
* Knox security boxes were installed on each building by Chuck Gerhardstein, Jerry Lehkamp, and Bob Wheeler.
* Fourteen Terrace hallways were equipped with timers/light sensors on the hall chandeliers.
* Streets — City Council had their first reading on October,24th and the second reading on January 23rd. They have officially accepted our streets contingent on the completion of some requested repairs and a final inspection.
* Two street signs were replaced and the welcome sign was repaired by Chuck Gerhardstein.
* Our new flag pole was dedicated.
* The gazebo was professionally decorated for Christmas.
* An irrigation system was installed at the front entrance and extended 160 ft. up Chardonnay Drive.
* Board meetings were changed to every other month.
* Raised the sidewalk at 100 Sonoma.
* The drain behind Bldg. #6 was repaired by Chuck Gerhardstein.
* Library bookcase was installed by Chuck Gerhardstein and maintained by Pat Malloy.
* Kentucky State flag was donated by Betty & Ned Barnes.
* Dryer vents will be cleaned in April & October at no cost to the owners.
* Cinergy was called to straighten four street lights.
* Delinquencies were kept to a minimum under $500.00.
* Thanks given for rental of the Elks Hall by Barb Schneider for $25.00.
* Thanks given to the Nominating Committee for their work in getting four candidates on the ballot. Adelene Mullins — Chair, Jerry Lehkamp, and Barb CuIp.

The Community Award was presented to Rhoda Wheeler, Adelene Mullins, and Chuck Gerhardstein for all of their outstanding contributions to the Chardonnay community.


Awards for serving on the Board of Directors were given to Chuck Gerhardstein and Jim Smalley. A special plaque has been purchased and will be displayed in the clubhouse listing the names and years of service of those who have retired from the board of directors.

Door Prizes were awarded:
1st Prize - $10.00 gift certificate to the Cold Spring Roadhouse — Beth Maggard
2nd Prize - $20.00 gift certificate to Applebee’s — Madeline Ruf
3rd Prize – Blanket/Throw donated by National City Bank — Mike Wagner
4th Prize – Lenox crystal horse from the Bank of Kentucky — Mike Bastian
Final Prize — One month’s condo fee — Rick Runimel

A conference call was set up with Marge Rauch and Rhoda Wheeler to listen while the election results were given. Bill Frambes announced the election results: Alan Hahn, Marge Rauch and Bill Frambes were elected to serve on the Board of Directors for a two-year term.

There being no further business, the meeting was adjourned.
